Challenge

TAUW was commissioned by a private equity firm to conduct a buyer Phase I Environmental and Health and Safety Due Diligence (HSEDD) assessment of CurTec’s production facilities in the Netherlands and the US, as part of an acquisition process.

In addition, TAUW performed a high-level sustainability assessment to identify relevant sustainability KPIs within CurTec that could be tracked and traced during the holding phase to create long-term economic value for the business.

CurTec is a high-performance packaging design, manufacturing and distribution company serving the pharmaceutical, specialty chemicals and food ingredients sectors. With a workforce of around 140, two production sites and six office locations, the company delivers its products to 76 countries.
Our client is an international private equity firm.

Solution

A fast-track desktop review of environmental permits, compliance records and historical incidents was followed by on-site inspections at CurTec’s plants in Rijen (NL) and Westminster, SC (US). The US visit was carried out by Geosyntec, a longstanding CAT Alliance partner of TAUW. Red-flag issues were reported by TAUW upon completion of both site visits and discussed with the client. All findings and liabilities were captured in clear HSEDD reports.

The sustainability assessment comprised the collection and review of data and documents from CurTec, followed by:

  • The definition of material topics and their level of materiality
  • Identification of financial risks and opportunities linked to these topics
  • Definition of KPIs to be tracked during the holding phase, based on material topics and their economic value

 

Industry standards and macro developments were notably considered throughout the process. Furthermore, TAUW compared assessment results with CurTec’s current status quo. CurTec’s insights and inputs were incorporated into TAUW’s deliverable (a presentation), highlighting overlaps, gaps and other observations regarding the KPIs.

In addition, TAUW delivered a spreadsheet providing a deeper dive into underlying assumptions, established baselines and targets, and financial calculations. This analysis offers an initial view of the potential financial impact of the KPIs and serves as a solid starting point for further validation of the selected sustainability KPIs.

Impact

TAUW delivered an HSEDD report summarising the health, safety and environmental status of the two production sites. This document enabled our client to assess associated business risks.

Furthermore, TAUW provided tangible recommendations, including a roadmap with next steps, on which sustainability KPIs within CurTec could be tracked and traced during the holding phase to create long-term economic value for the business.
