A major transaction such as the one in which De Jong Packaging Group has been sold to Stora Enso requires due diligence support. TAUW was asked to deliver the Environmental Due Diligence on behalf of the Seller. Nielen Schuman, one of the major M&A advisors in the Benelux, approached TAUW for support.
As the press release stated, “De Jong Packaging Group, the largest independent corrugated packaging manufacturer in the Benelux, is pleased to announce that Stora Enso has acquired the company. Together De Jong Packaging Group and Stora Enso will accelerate revenue growth and build market share in renewable packaging in Europe.”
TAUW is proud to have been part of the deal team involved in this transaction valued at approximately EUR 1 billion. Working on behalf of the seller, as Vendor Environmental Due Diligence provider, our work included full Phase I EDD work at 6 production facilities as well as desk top reviews of five other locations.
The facilities included sites in the Netherlands, Germany and the UK.
Subsequent to the due diligence reporting, TAUW was intensively involved in Q&A sessions with parties representing the Buyer.
The tailor-made approach of combining full Phase I EDD’s and desk top reviews was chosen as the various sites represented different environmental profiles, hence requiring a differentiated approach.
The well-designed, customized mix of full environmental due diligence assessments and desktop reviews ensured a proper level of attention to each asset in a time- and cost efficient manner.
Both De Jong Packaging and Nielen Schuman expressed their high level of satisfaction on our support.
"TAUW’s recent involvement in the acquisition of Essentra Packaging by Mayr-Melnhof and our vendor EDD and ESG DD of packaging paper producer Parenco, uniquely places us as an experienced environmental due diligence provider in the pulp and paper and the packaging industry."
